TERMS OF SERVICE

Welcome to SeaBreeze Business Services. These Terms govern your access to our website and the professional bookkeeping and notary services offered by SeaBreeze ("Company," "we," or "us").

1. ACCEPTANCE & ELIGIBILITY

By using this Site or engaging our Services, you agree to be bound by these Terms and our Privacy Policy. You represent that you are at least 18 years of age and reside in the United States.

2. INTELLECTUAL PROPERTY

The Site and its original content, features, and functionality are owned by the Company and are protected by copyright and trademark laws. You may not reproduce any part of this site for commercial purposes without prior written permission.

3. SCOPE OF PROFESSIONAL SERVICES

  • Bookkeeping: We provide data entry, reconciliation, and reporting. We are not a CPA firm and do not provide formal tax advice or audited financial statements.

  • Notary: Services are performed strictly in accordance with California state law.

4. CLIENT RESPONSIBILITIES

Accuracy is a partnership. You agree to provide all bank statements and financial documents by the 5th of each month. SeaBreeze is not responsible for errors, IRS penalties, or late fees resulting from incomplete or inaccurate information provided by the client.

5. FEES, PAYMENT & SCOPE CREEP

  • Retainers: Monthly fees are due on the 1st of each month.

  • Late Payments: If payment is not received within 7 days, work will be paused until the account is current.

  • Scope Creep: Any work requested outside of your original signed Service Agreement will be billed at our standard hourly rate.

6. RELIANCE ON INFORMATION & DISCLAIMER

The information on this Site is for general purposes only. THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND. We do not warrant that the Site will be error-free or uninterrupted.

7. LIMITATION ON LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, SEABREEZE BUSINESS SERVICES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU HAVE PAID TO US IN THE LAST 3 MONTHS FOR THE APPLICABLE SERVICE.

8. INDEMNIFICATION

You agree to defend and indemnify the Company against any third-party claims or expenses arising from your violation of these Terms or your misuse of the Site.

9. TERMINATION

Either party may terminate the service relationship with 30 days' written notice. All fees for work performed up to the termination date become immediately due.

10. GOVERNING LAW & JURISDICTION

All matters relating to the Site and these Terms shall be governed by the laws of the State of California. Any legal action shall be instituted exclusively in the courts located in Los Angeles County.

11. ENTIRE AGREEMENT

These Terms of Service and our Privacy Policy constitute the sole and entire agreement between you and SeaBreeze Business Services and supersede all prior understandings, agreements, representations, and warranties, both written and oral.
